Project Terms

These terms apply to design and CAD services provided by Vercadence Design Solutions. They set clear expectations for both parties. Specific project details are defined in the written quote or invoice for each project.

1. Scope of Work

The scope of each project — including the parts, assemblies, drawings, or other deliverables to be produced — is defined in a written quote or invoice provided before work begins. Work outside that defined scope is considered a new request and may be quoted separately.

2. Deliverables

Final deliverables, file formats, and quantity of files are specified in the written quote. Typical deliverables may include SolidWorks files, STEP files, STL files, and PDF drawings, as agreed.

3. Timeline

Estimated timelines are provided in the written quote and are based on the information available at the time of quoting. Timelines may be adjusted if scope changes, if client feedback is delayed, or if information needed to complete the work is not available.

4. Pricing and Payment

Pricing is defined in the written quote or invoice. Depending on the project, work may be billed as a flat fee, hourly, or by milestone. A deposit may be required before work begins. Invoices are due as stated on the invoice.

5. Release of Files

CAD files, native models, and final drawings are released to the client after the final invoice has been paid in full. Preview images, screenshots, or working drafts may be shared during the project for review purposes.

6. Revisions

A reasonable number of revisions within the defined scope is included in each project. Additional revisions or design changes outside the original scope may be quoted separately.

7. Prototypes and Samples

Any physical prototypes, printed parts, or sample components provided as part of a project are intended for evaluation and design review only, unless otherwise stated in writing. They are not intended for production use, resale, or end-use applications.

8. Third-Party Costs

Costs for outside services — including 3D printing, machining, materials, shipping, or other third-party manufacturing — may be billed separately or passed through to the client as quoted. These costs are not included in design fees unless specifically stated.

9. Intellectual Property

Once final payment is received, the client owns the final design files produced specifically for their project. Vercadence Design Solutions retains the right to use general knowledge, techniques, and non-confidential portfolio examples for future work and marketing, unless a separate confidentiality agreement states otherwise.

10. Confidentiality

Project information shared by the client is treated as confidential and is not disclosed to third parties without permission, except as required to complete the work or by law. A separate non-disclosure agreement can be signed on request.

11. Limitation of Liability

Design work is provided in good faith based on the information supplied by the client. The client is responsible for reviewing all deliverables and confirming that designs meet their requirements before manufacturing, production, or end use. Vercadence Design Solutions is not liable for outcomes related to manufacturing, performance, regulatory compliance, or end use of any design.

12. Changes to These Terms

These terms may be updated from time to time. The terms in effect at the time a project is quoted apply to that project.
